These Terms of Service are a contract between you and Vincent Riddell, Heinrich-Heine-Platz 12A, 10179 Berlin, Germany ("CrownQC", "we", "our", or "us"), who currently provides CrownQC (the "Service") pending incorporation of Crown Quality Control, a Hong Kong company that will assume provision of the Service. By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.
CrownQC is a quality control inspection and reporting platform that provides mobile inspection tools, dashboard analytics, and shareable reports for organizations managing quality control operations.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
You retain ownership of all inspection data, reports, photos, and other content you upload to the Service ("Customer Data"). By using the Service, you grant us a worldwide, non-exclusive license to store, process, and display your Customer Data as necessary to provide and improve the Service, and to create Aggregated Data as described below.
We may create aggregated and anonymized statistics, benchmarks, and insights derived from Customer Data across the platform (such as average defect rates by commodity, product variety, or region) ("Aggregated Data"). Aggregated Data is irreversibly anonymized: it contains no information that identifies you, your organization, or any individual, and is produced so that no such party can be re-identified from it - including by suppressing statistics drawn from small numbers of organizations. We own the Aggregated Data and may use it for any lawful business purpose. We never sell or share Customer Data that identifies you or your organization.
The Service, including its design, features, and underlying technology, is owned by CrownQC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any inspection results, analytics, or other output will be accurate or complete. You remain responsible for your own quality-control decisions; the Service is a tool to assist them, not a substitute for professional judgment.
To the maximum extent permitted by law, CrownQC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising out of your use of the Service.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid us for the Service in the twelve (12) months before the event giving rise to the liability, or (b) USD 100. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
You agree to indemnify and hold harmless CrownQC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, or your breach of these Terms or of applicable law.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security purposes.
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules. You and CrownQC submit to the exclusive jurisdiction of the courts of Hong Kong for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, to Crown Quality Control upon its incorporation in Hong Kong, or to any successor entity in connection with a reorganization, merger, or acquisition. We will post notice of any such transfer on this page. These Terms bind and benefit each party's permitted successors and assigns.
We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
